Terms & Conditions

The terms governing use of this website and our agency services. Last updated: January 2026.

Agreement to terms

By accessing this website or engaging Ioka (“we”, “us”) for services, you agree to be bound by these Terms. If you do not accept the terms, please do not use the site or our services.

Services

We provide marketing, advertising, content, design and related services as described on our website or in a signed Statement of Work. The scope, deliverables, timeline and fees of any engagement are set out in a written Statement of Work agreed between us and the client. These Terms apply alongside each Statement of Work.

Fees and payment

Fees are specified in each Statement of Work. Unless otherwise agreed, we invoice monthly or quarterly in advance, with payment due within 14 days. We reserve the right to pause services on overdue accounts and to charge interest on late payment as permitted by applicable law.

Intellectual property

On full payment of all fees, the client owns the final deliverables created specifically for them under a Statement of Work. We retain ownership of our pre-existing tools, methods, templates and know-how, and may re-use them on other engagements. We may reference the engagement in case studies only with the client's written approval.

Confidentiality

Each party agrees to protect the other party's confidential information with reasonable care and not to disclose it to third parties except as required to perform services or by law. These obligations survive termination of any engagement.

Third-party platforms and media spend

Where we buy media or software on behalf of a client, those third-party platforms are governed by their own terms. We are not responsible for platform outages, policy changes or account suspensions outside our control.

Warranties and limitation of liability

We will perform our services with the reasonable care and skill expected of a professional agency. We do not guarantee specific business outcomes or performance metrics.

To the fullest extent permitted by law, our total liability under any engagement is limited to the fees paid by the client in the three months preceding the event giving rise to the claim. We are not liable for indirect, consequential or incidental loss, including lost profits, lost data or loss of business opportunity.

Term and termination

Either party may terminate an engagement on thirty days' written notice unless the Statement of Work provides otherwise. On termination, the client pays for work completed up to the termination date, we return client data and access, and both parties' confidentiality obligations continue.

Use of this website

The site is provided “as is”. We make no warranty that it will be uninterrupted or error-free. Content on the site is for general information and is not professional advice. You may not use the site to transmit malicious code or infringe anyone's rights.

Changes to these terms

We may update these Terms from time to time. The “last updated” date at the top will reflect the most recent revision. Continued use of the site after a change constitutes acceptance of the updated Terms. Changes to engagement terms require written agreement by both parties.

Governing law

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of the Dubai International Financial Centre (DIFC), unless otherwise agreed in a Statement of Work.
